[cvsnt] read on file permission issue

Cvsnt is running as system user, system, cvs user and administrators group 
have dull control of all cvs directories repositories etc....
when I commit, the file won't get overwritten.  If I remove the Read only 
attribute it works but then it's back after the commit.  Any ideas?  I have 
tried disabling virus software etc.  This is a windows 2003 server.  I have 
tried using both "runas" as cvs user and client users (which are aliases to 
cvs user in the passwd file anyway)
